1. Acceptance and eligibility

By creating an account or using TallyZap, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the service. You must be legally capable of entering into this agreement and, when using TallyZap for a company or another person, authorized to act for them.

TallyZap is intended for adult business users and is not directed to children.

2. The TallyZap service

TallyZap provides tools for managing projects, clients, trades, crew, expenses, schedules, reminders, media, scopes, estimates, invoices, payment records, reports, and related business information. Some features use voice transcription, automated extraction, generated documents, cloud synchronization, or third-party services.

You may use TallyZap only for lawful personal or business purposes and in accordance with these Terms. Your right to use the service is limited, revocable, non-exclusive, and non-transferable.

3. Accounts, companies, and security

You are responsible for accurate account information, the security of your device and sign-in methods, and activity performed through your account. Notify us promptly if you believe an account has been compromised.

Company owners and administrators are responsible for invitations, roles, assignments, and access decisions. You must not invite a person, access a company, or enter information about another person without appropriate authority.

4. Voice, scanning, and automated output

Voice transcription, receipt scanning, field extraction, categorization, and other automated output can be incomplete, delayed, or inaccurate. Background noise, connectivity, names, amounts, dates, and other factors may affect results. TallyZap does not guarantee that an input will be captured, processed, classified, saved, or restored without error.

You must review every draft before saving, issuing, sharing, paying, filing, or otherwise relying on it. TallyZap does not independently verify vendors, totals, tax treatment, client details, job assignments, or document content.

5. Scopes, estimates, and invoices

TallyZap can organize project scope and generate client-facing estimates and invoices from information you provide. You control the content and decide whether and when to share or issue a document.

You are responsible for the accuracy and legal sufficiency of descriptions, quantities, prices, totals, taxes, tax registration numbers, deposits, discounts, due dates, payment terms, sequential document numbers, client information, and all other document content. Requirements differ by business, transaction, and jurisdiction. TallyZap does not guarantee that a generated document satisfies tax, construction, consumer, lien, contracting, disclosure, recordkeeping, or invoicing requirements.

A printable acceptance or signature area in a PDF is not an electronic-signature service and does not independently prove identity, authority, delivery, acceptance, or enforceability. Obtain legal advice and use an appropriate signing process when those matters are important.

6. Payments and financial records

TallyZap records payment information you enter and can allocate a payment to an invoice. TallyZap does not process card or bank payments, transfer funds, hold money, provide merchant services, or verify that a payment occurred. Payment-method labels are descriptive records only.

You are responsible for reconciling TallyZap records with bank, card, cash, cheque, payment-processor, and accounting records and for correcting any discrepancy.

7. Your records and responsibilities

You are responsible for the accuracy, completeness, classification, lawful collection, and lawful use of information you enter or import. TallyZap does not replace original receipts, contracts, invoices, bank records, payroll records, licences, insurance, safety records, tax records, or documents required by clients, regulators, or law.

You must retain supporting documents for the periods and in the formats that apply to you. You are responsible for reviewing exports, maintaining any independent backup your business requires, and protecting files after they leave TallyZap.

8. No professional advice

TallyZap is an operational aid. It does not provide accounting, bookkeeping, tax, legal, financial, payroll, investment, workplace-safety, engineering, construction-code, or emergency advice. Categories, summaries, suggested fields, document templates, and automated output are informational tools and are not professional advice or filing-ready determinations.

Consult an appropriately qualified professional about your circumstances.

9. Your content and permissions

You retain ownership of information and files you provide to TallyZap. You grant TallyZap and its service providers a non-exclusive, worldwide, limited licence to host, copy, transmit, format, transform, back up, and otherwise process that content only as reasonably necessary to provide, secure, troubleshoot, and support the service or comply with law.

You represent that you have the rights, permissions, and lawful authority needed to provide the content and to permit this processing, including personal information about clients, trades, crew, and other contacts.

10. Privacy and third-party services

Our Privacy Policy explains how personal information is handled. TallyZap relies on third-party infrastructure and processing services for authentication, hosting, AI processing, diagnostics, email, weather, storage, and Apple platform features. Their availability and lawful requests may affect the service.

Your use of another application to store, open, sign, transmit, or share an exported file is governed by that provider's terms and policies. To the extent permitted by law, TallyZap is not responsible for third-party services outside its reasonable control.

11. Acceptable use

You must not:

• use TallyZap for unlawful, fraudulent, deceptive, abusive, unsafe, or harmful activity;
• submit information you do not have the right or authority to process;
• impersonate another person or misrepresent authority, payment, approval, or document status;
• gain or attempt to gain unauthorized access to another account, company, project, system, or service credential;
• interfere with, overload, probe, scan, scrape, reverse engineer, or circumvent security or technical restrictions, except where a restriction is prohibited by law;
• introduce malware or use automated means to abuse the service; or
• represent TallyZap output as verified professional advice or independent confirmation.

12. TallyZap intellectual property

TallyZap's software, branding, interface, templates, designs, text, and related materials are owned by or licensed to TallyZap and are protected by applicable intellectual-property laws. These Terms do not transfer ownership to you.

You may provide feedback. Unless agreed otherwise in writing, we may use non-confidential feedback to improve TallyZap without payment or obligation to you.

13. Availability, synchronization, and changes

TallyZap may experience interruptions, processing delays, synchronization conflicts, maintenance, provider outages, or data loss. Offline or locally stored changes may not be available on another device until synchronization completes. No storage or backup system is infallible.

We may add, change, suspend, or remove features and may discontinue all or part of the service where reasonably necessary. Where appropriate and practicable, we will provide notice of a material change.

14. Fees and purchases

If TallyZap introduces a paid feature or subscription, the price, billing period, renewal terms, and available cancellation method will be shown before purchase. Purchases made through Apple are also subject to Apple's applicable payment and subscription terms. Deleting a TallyZap account does not automatically cancel a subscription managed by Apple unless the purchase flow expressly says otherwise.

15. Disclaimers

To the maximum extent permitted by law, TallyZap is provided on an “as is” and “as available” basis without representations, warranties, conditions, or guarantees of uninterrupted availability, error-free operation, fitness for a particular purpose, merchantable quality, accuracy, security, non-infringement, legal sufficiency, or recovery of data.

Nothing in these Terms excludes a warranty, condition, remedy, or right that cannot lawfully be excluded or limited.

16. Limitation of liability

To the maximum extent permitted by law, TallyZap will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunity, goodwill, data, documents, tax benefits, anticipated savings, or client relationships arising from or related to the service.

To the maximum extent permitted by law, TallyZap's total aggregate liability arising from or related to the service will not exceed the greater of the amount you paid for TallyZap during the 12 months before the event giving rise to the claim and CAD $100.

These limitations do not apply to fraud, wilful misconduct, liability for personal injury caused by negligence, or any other liability that applicable law does not permit us to exclude or limit. Mandatory consumer rights remain unaffected.

17. Business indemnity

To the extent permitted by law, if you use TallyZap for business or commercial purposes, you agree to indemnify and hold harmless TallyZap and its operator from third-party claims, losses, and reasonable costs arising from your unlawful use, your material breach of these Terms, a document or record you create or issue, or information you submit without appropriate rights. This does not apply to the extent a claim results from TallyZap's own unlawful conduct or where indemnity is restricted by mandatory law.

18. Suspension, termination, and account deletion

You may stop using TallyZap at any time and may initiate account deletion through the app. We may restrict, suspend, or terminate access where reasonably necessary to protect people or the service, address unlawful or prohibited conduct, comply with law, respond to a material breach, or manage discontinuation of the service.

Sections that by their nature should survive termination—including responsibility for records, content permissions, intellectual property, disclaimers, liability limits, indemnity, and governing law—will continue to apply.

19. Governing law and disputes

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law rules. Subject to any mandatory right to bring a claim elsewhere, the courts of Ontario will have jurisdiction.

Before starting a formal claim, please contact us and provide enough information for us to understand the issue and attempt an informal resolution. Nothing in this section prevents either party from seeking urgent injunctive relief or using a court or tribunal process that cannot lawfully be restricted.

20. Changes to these Terms

We may update these Terms as TallyZap or legal requirements change. Revised Terms will be posted at this address with an updated effective date. We will provide additional notice in the app or on the website when a change is material. Continued use after revised Terms take effect constitutes acceptance to the extent permitted by law.

21. General

If a provision is unenforceable, it will be limited or removed only to the extent necessary and the remaining provisions will continue. A delay in enforcing a right is not a waiver. These Terms and the Privacy Policy are the entire agreement about the service unless a separate written agreement expressly applies.
